Special Purpose Vehicles registered in Abu Dhabi Global Market (ADGM) have become a preferred structuring tool for holding companies, family offices and cross-border investors operating in and around the UAE. The reasons come down to a specific mix of legal certainty, tax treaty access and structural flexibility.  

Here's what the regime actually offers, based on ADGM's own framework and current UAE tax rules. 

A Common Law Foundation 

ADGM operates under 100% English common law, applied directly rather than adapted or codified into a separate local statute. Commercial and civil disputes are heard by ADGM's own independent, English-language courts, giving directors, fiduciaries and shareholders access to a legal framework including established fiduciary duties and remedies for minority shareholders that is familiar to international investors, law firms and lenders. This is a meaningful point of difference from onshore UAE structures, which sit under civil law. 

Tax Residency and Treaty Access 

All ADGM-registered entities, including SPVs, are eligible to apply for a UAE Tax Residency Certificate from the UAE Ministry of Finance, provided they meet the criteria the Federal Tax Authority sets out. A valid certificate gives the SPV access to the UAE's extensive Double Taxation Avoidance Agreement network, which spans well over 100 countries - a significant advantage for structures channeling dividends, royalties or sale proceeds across borders, since it can reduce foreign withholding tax exposure. 

Where UAE Corporate Tax Fits In 

It's worth being precise here, since this is an area where outdated claims still circulate. ADGM SPVs are not automatically tax-free. As juridical persons under Federal Decree-Law No. 47 of 2022, they fall within the scope of UAE Corporate Tax on their worldwide income. What they can access is the 0% preferential rate available to a Qualifying Free Zone Person on Qualifying Income —-which commonly includes passive income such as dividends, capital gains and certain intra-group transactions - provided the entity meets the conditions set out in the Corporate Tax Law and complies with Economic Substance Regulations. In other words, the tax efficiency is real but conditional, not automatic, and structures should be reviewed against current Corporate Tax and Economic Substance requirements rather than assumed. 

Asset Protection Through Legal Separation 

An SPV's core function is to ring-fence specific assets or liabilities from a parent company or individual owner, giving each asset its own distinct legal status. This separation is useful across a range of scenarios: isolating a single real estate asset, holding equity in an operating business separately from personal wealth, or segregating risk across multiple investments so that a problem in one holding doesn't expose the others. 

Structural Flexibility 

ADGM SPVs can issue multiple classes of shares - ordinary, non-voting, preferred, and even fractional shares which allows founders, investors and family offices to tailor voting rights and economic entitlements to their specific arrangement. There's no minimum or maximum share capital requirement, and no cap on the number of shareholders. Corporate shareholders and directors are permitted, and a company secretary is not mandatory. A Practical Vehicle for Real Transactions

Setup is handled entirely online through ADGM's registry platform, with no requirement for in-person attendance or document attestation. Applicants create a profile, reserve a company name, submit incorporation documents and KYC information, pay the applicable fees, and track the application through to license issuance - a process that, once documentation is in order, is often completed within a matter of days.

Locating a structure within ADGM also places it inside an established financial ecosystem, alongside law firms, fund administrators and international banks that are familiar with the jurisdiction's regulatory standards. ADGM enforces AML/CFT and beneficial-ownership transparency requirements in line with international norms, which is part of why counterparties, investors and lenders treat ADGM-registered structures as a credible, well-regulated choice rather than a red flag - a distinction that matters when a structure needs to withstand due diligence from banks, co-investors or regulators. 

The Bottom Line

The case for an ADGM SPV rests on a specific combination: common law governance with independent courts, real (if conditional) tax efficiency backed by treaty access, flexible share structures, and a regulatory environment that international counterparties already trust. None of that replaces proper structuring advice for a specific transaction but it explains why the regime has become a default reference point for holding and investment structures across the region.
