- Beneficial ownership disclosure - Ultimate Beneficial Owners must be declared to the ADGM Registrar, and this information must be kept current.
- AML/KYC obligations - Standard due diligence documentation, including passport copies, proof of address and identity verification for shareholders and signatories, must be maintained and updated.
- UAE Corporate Tax compliance - SPVs are juridical persons under Federal Decree-Law No. 47 of 2022 and fall within the scope of UAE Corporate Tax, though many can qualify for the 0% preferential rate on qualifying income as a Qualifying Free Zone Person, subject to meeting the conditions set out in the Corporate Tax Law.
